ArinSuite · Terms v1.0
Terms and Conditions
Effective date: 28 October 2026
1. Who we are and these terms
ArinSuite is a hosted business software service that may include CRM, forms, human resources, projects, invoicing, support, documents and other applications (the “Service”). The Service is provided by [INSERT FULL REGISTERED LEGAL NAME], with registered office at [INSERT REGISTERED OFFICE ADDRESS] (“ArinSuite”, “we”, “us” or “our”). Contact: [INSERT LEGAL OR SUPPORT EMAIL].
These terms form an agreement between that provider and the person or organisation using the Service (“you”). If you use the Service for an organisation, you confirm that you are authorised to accept these terms for it; “you” then includes that organisation. If you are not authorised, do not create or administer its workspace.
2. Accounts and workspace users
Give accurate account information, keep credentials confidential, use a unique strong password, and promptly tell us about suspected unauthorised access. You are responsible for activity performed through your account, except to the extent caused by our breach or otherwise provided by applicable law.
Workspace owners and administrators are responsible for choosing who to invite, assigning suitable permissions, and ensuring invited users are authorised to access the workspace and its records. They must promptly remove access when it is no longer appropriate. Each user must comply with these terms and their organisation's lawful instructions.
3. The Service and acceptable use
We grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for your internal business or personal purposes while your account is active and you comply with these terms. We may update, maintain or improve the Service. We will give notice of material changes where required by law or reasonably practicable.
You must not, and must not help another person to:
- use the Service unlawfully, deceptively, to infringe another person's rights, or to harm others;
- upload malware, interfere with the Service, bypass access controls, or probe or test its security without our written permission;
- reverse engineer or copy the Service except where applicable law does not allow that restriction;
- use the Service to send unsolicited communications, commit fraud, or process data without a lawful basis; or
- use the Service in a way that could disrupt it or materially impair other users' access.
We may investigate suspected misuse and take proportionate action, including restricting access where reasonably necessary to protect users, the Service or legal rights. Where practicable and lawful, we will notify the workspace owner and allow an opportunity to address the issue.
4. Your data and content
You or your organisation retain ownership of records, files, messages and other material you submit to the Service (“Customer Content”). You are responsible for ensuring that you have the rights, notices, permissions and lawful basis needed to submit and use Customer Content, including personal data about employees, customers, suppliers and other people.
You grant us permission to host, store, reproduce, transmit, display and otherwise process Customer Content only as reasonably necessary to provide, secure, support and maintain the Service, comply with law, and follow your instructions. This permission ends when the relevant content is deleted, subject to routine backups, legal obligations and the retention periods explained in our privacy information.
You are responsible for the accuracy and legality of your business records and for keeping appropriate independent copies of important data. Unless we expressly agree otherwise, the Service is not your sole recordkeeping or backup system.
5. Personal data and privacy
We handle personal data under applicable data-protection laws, including the Nigeria Data Protection Act 2023 where applicable. When you use the Service for your organisation, that organisation may determine why and how personal data in its workspace is used, and we may process it to provide the Service on its behalf. You must provide required notices and respond to data subjects' requests where you are responsible for doing so.
A separate privacy notice and, where required, a data-processing agreement must explain the specific data collected, purposes and legal bases, recipients, international transfers, retention, security, and how to exercise rights or contact the relevant data-protection authority. These terms do not replace those documents or any rights that cannot lawfully be waived. The operator must publish and maintain those documents before collecting personal data.
6. Third-party services and integrations
The Service may connect to services operated by others, such as payment providers, accounting platforms, cloud storage or contact services. Those services have their own terms and privacy practices. You are responsible for reviewing them, obtaining required permissions, and ensuring you are authorised to connect accounts and transfer data. We do not control third-party services and are not responsible for their availability or acts, except where applicable law makes us responsible.
You authorise us to exchange the information needed to carry out an integration you enable. You may disconnect an integration in the Service or at the third-party provider; disconnection may not delete information already sent to that provider.
7. Fees, subscriptions and cancellation
Some features may be free and others paid. Before you purchase, we will present the applicable price, billing period, taxes and any renewal or cancellation information. You authorise the payment method you choose to be charged for amounts you approve, including recurring charges where the checkout clearly identifies them. Payments may be processed by a third-party provider such as Paystack and are subject to that provider's terms.
You may manage or cancel a subscription using the controls provided in your account, subject to the cancellation terms shown at purchase. Cancellation does not automatically entitle you to a refund for a period already started, except where our stated refund policy or applicable law provides otherwise. Nothing here limits mandatory consumer rights, including rights to clear pricing information, fair treatment, remedies or refunds where required by the Federal Competition and Consumer Protection Act 2018 or other applicable law.
8. Intellectual property and feedback
We and our licensors own the Service, its software, design, branding and documentation. No ownership transfers to you. You may not use our marks in a way that suggests endorsement without permission. If you send suggestions, you allow us to use them without restriction or payment, but this does not transfer your Customer Content or personal data.
9. Availability, suspension and termination
We work to keep the Service available but do not promise uninterrupted or error-free operation. Maintenance, security incidents, telecommunications failures and events beyond our reasonable control can affect availability. We will take reasonable steps to restore access and communicate material incidents where required by law.
You may stop using the Service and close your account using available account controls or by contacting us. We may suspend or terminate access for a material breach, non-payment after reasonable notice, a legal requirement, or an urgent security or safety risk. Where practicable, we will give notice and a reasonable opportunity to fix the issue. On termination, access may end; you should export needed data beforehand. We will handle retained data under applicable law and our privacy information.
10. Warranties and liability
To the extent permitted by law, the Service is provided without a promise that it will meet every business requirement or produce a particular result. We do not provide legal, tax, accounting, investment or other professional advice. You remain responsible for reviewing records, filings, calculations and business decisions made using the Service.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where the law prohibits exclusion. Subject to that rule and applicable consumer protections, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. Any other liability limits apply only to the extent permitted by the law governing the relevant claim.
11. Changes to these terms
We may revise these terms to reflect changes to the Service, law or our operations. We will publish the revised version and update its effective date. For material changes, we will provide reasonable advance notice and, where required, obtain fresh agreement before the change applies. If you do not accept a material change, you may stop using the Service and close your account. Your statutory rights are not affected.
12. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria, without displacing any mandatory consumer or data-protection law that applies where you live or use the Service. Before starting court proceedings, the parties should try in good faith to resolve a dispute by written notice and discussion. This does not prevent either party from seeking urgent relief or using a regulator, tribunal or other remedy available under applicable law. Courts with proper jurisdiction in Nigeria may hear disputes, subject always to any mandatory right to bring a claim elsewhere.
13. General
If a provision is unenforceable, it will be limited only as much as necessary and the rest will remain in effect. A party's failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent, except as part of a lawful business reorganisation where permitted. We may transfer it as part of a merger or transfer of the Service, subject to applicable law. These terms and any purchase-specific terms form the agreement about the Service. Nothing here creates a partnership or employment relationship.
